Trueness

Terms of Service

Effective date: 26 September 2026

These terms are a contract. They are written in short sentences so a finance lead can read them without a lawyer, and they say what we will and will not do. Where a clause is unusual, we say why it is there rather than hoping you skim it.


1. Who you are contracting with

Trueness is supplied by Trueness Corp, a trade name of the individual microentrepreneur (microempreendedor individual) registered in Brazil under CNPJ 63.887.933/0001-62, at Avenida Paulista, 1374 - Bela Vista, São Paulo - SP, 01310-100, Brazil ("Trueness", "we", "us").

"You" means the company that installs or pays for the service. If you are accepting these terms on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

This service is sold to businesses only. It is not offered to consumers and it is not offered to customers established in Brazil. We do not accept Brazilian billing addresses at checkout.


2. What the service does, and what it does not

Trueness reads your billing records from Stripe and your HubSpot portal, checks every day that the two agree, shows you every record where they do not, and lets you mark each one resolved, with the resolution recorded. A dated record of every sync decision it made and why, kept over time, is coming in a later release.

What that means concretely:

It reads Stripe. It never writes to Stripe. Trueness connects through Stripe's own app framework with read-only permissions, and does not use Stripe Connect. It has no authorisation to change anything in your Stripe account and no authorisation to move money
It writes nothing to HubSpot at this release Trueness does not create app objects or any trueness_-prefixed roll-up properties on Company and Contact records at this release. It never writes to HubSpot's native invoice, subscription, payment, quote or order objects
It never deletes your CRM records Under any setting, for any reason. Drift detection reports; it does not act on its own
It never sees a card number And it never stores any payment-instrument field, including the card brand or last four digits
The direction is one-way Stripe to HubSpot. There is no write-back in this version
It is not advice Trueness is software that compares records. It does not provide accounting, tax, audit, legal or financial advice, and nothing it produces is a substitute for your own accounting judgement or your own accountant

Your systems are yours. You need your own active Stripe account and your own HubSpot portal, under your own agreements with those companies. We are not a party to those agreements and are not responsible for what those companies do, charge or change. If Stripe or HubSpot changes an API in a way that breaks something, we will fix it as fast as we can and tell you on our changelog, but we do not control their timing.


3. Your account, and who may use it

3.1 You must give accurate account and billing details and keep them current. A billing email that bounces is how a service gets suspended for a reason nobody intended.

3.2 You are responsible for what happens under your account, including what your staff do with it and what happens through credentials you hold.

3.3 You must not: resell or sublicense the service; use it to build a competing product; try to reverse-engineer, decompile or circumvent it, except to the extent that restriction is void under applicable law; attempt to reach another customer's data; or use the service to process personal data you have no lawful basis to process.

3.4 Unlimited users. Every plan includes unlimited users at no extra cost. We do not charge per seat and have no plan to.


4. Plans and prices

4.1 The plans, in US dollars:

4.2 Month-to-month carries a surcharge of about 18%. Annual is the headline price. Checkout at the end of a trial defaults to the monthly term; you can switch to annual at checkout or at any time afterwards and drop the surcharge. Switching to annual takes effect immediately and is prorated.

4.3 All prices are in US dollars. There is no other billing currency.

4.4 We accept Visa and Mastercard only. No other card brand can be processed. We do not accept purchase orders, bank transfer or invoicing on terms. This is stated on the pricing page beside the checkout button so you learn it there rather than at a decline.

4.5 Prices are exclusive of any tax you may owe in your own jurisdiction. You are responsible for any such tax, and we collect your tax identifier at checkout.

4.6 We may change our prices. A price change takes effect on your next renewal and never mid-term, and we will give you at least 30 days' notice of it.

4.7 The prices in these terms must match our pricing page and both marketplace listings exactly. If they ever differ, the lower price applies to you for the term in question, and we will correct the discrepancy.


5. The free plan and the trial

5.1 The Drift Report is free, permanently, and needs no card. It is not a trial of the paid product and it does not expire. We may change what it includes, but we will not start charging for the plan you installed for free.

5.2 The paid trial runs 14 days. A card is required to start it. The clock starts at your first successful sync, not at installation — you should not lose trial days to a setup problem.

5.3 During the trial you get the full feature set of the plan you chose. We email you three days before the trial ends, naming the exact amount, the plan, the date, and one link each to change plan or cancel.

5.4 If you cancel during the trial, or your card is removed, nothing is charged and you revert to the free Drift Report. Your data is not deleted and the app objects already written into your HubSpot portal are left exactly where they are.

5.5 One trial per HubSpot portal. Trial extensions are not self-serve; ask us.


6. How your plan is measured, and what happens if you outgrow it

6.1 The meter is the number of active Stripe subscriptions across the Stripe accounts you have connected. "Active" means a Stripe subscription whose status is active, trialing, past_due or unpaid, in live mode. Paused, incomplete, expired and cancelled subscriptions do not count.

6.2 We take one reading each night at 03:00 UTC and use the trailing 7-day median, never a single day's spot value. Subscription counts spike on billing days, and nobody should be charged for a Tuesday.

6.3 If your median goes above your plan's ceiling, this is what happens, in this order:

6.4 By agreeing to these terms you authorise that automatic upgrade, on the conditions above and only on them: the median must exceed 120% of your ceiling for 30 consecutive nightly readings, and the 7-day written notice must actually have been sent. If the notice was not sent, the upgrade does not happen. A single account is upgraded automatically at most once in any 90 days.

6.5 We never withhold the product because you are over your plan. Whatever your count, we do not stop syncing, do not withhold your history, do not degrade drift detection and do not block replay. Withholding an audit trail from a customer in the middle of a month-end close, to extract an upgrade, is not something we will do. We bill the difference instead.

6.6 Downgrades are never automatic. If your count falls well below your plan for a sustained period, we will email you offering the lower plan. Downgrades take effect at your next renewal and do not produce a credit or a refund.


7. Payment, renewal and cancellation

7.1 Subscriptions renew automatically for the same term until cancelled. Annual terms renew annually, monthly terms monthly.

7.2 Cancel at any time through the billing portal. Cancellation takes effect at the end of the term you have paid for, and the service continues until then.

7.3 Uninstalling the HubSpot app is not cancelling. Your subscription continues. We email your billing contact within an hour of an uninstall to say so, and again on days 3 and 7. If the app is still uninstalled on day 14, we set your subscription not to renew — you are not charged again, and the term you already paid for is not refunded. Reinstall before day 14 and everything resumes, including a catch-up backfill.

We do it this way because an uninstall is often an administrator's mistake, and cancelling a paid annual term on the spot would be the wrong default in both directions.

7.4 If a payment fails, we email you and retry on a published schedule. Your sync does not stop while we do. If the payment is still outstanding after the final retry, the subscription cancels and your account moves to the post-cancellation window in section 11.

7.5 Upgrades and switches to annual take effect immediately and are prorated. Downgrades and switches to monthly take effect at renewal and produce no credit. This asymmetry is deliberate and we state it here rather than hiding it.


8. Refunds

8.1 Within 30 days of first payment, a full refund on request, no questions asked. After 30 days, annual terms are not refunded pro-rata. You may cancel at any time and your service continues to the end of the term you paid for.

8.2 To ask, email trueness.lab@gmail.com or use the refund form in the app. One sentence is enough and you do not have to give a reason. We will not ask you why, will not offer you a discount to stay, and will not ask you for a call. We process the refund within 3 business days; how long it then takes to appear on your statement is a matter for your card issuer.

8.3 Service credit. If Trueness falls below a 95% API success rate in a calendar month, you may request a pro-rata credit for that month, applied against your next renewal.

8.4 The full policy, including what we cannot refund, is at trueness.io/refunds and forms part of these terms. One exception to clause 8.1 runs in your favour and is in section 14.


9. Your data, and ours

9.1 Your data is yours. You own everything you connect, everything we mirror, and everything we produce from it. We claim no ownership of it and no licence to it beyond what is needed to run the service for you.

9.2 We use your data only to provide the service to you. We do not use it to train any model, build any benchmark or dataset, enrich any product, or market to anyone. We do not sell it. There is no exception to this clause.

9.3 Export is self-serve and unlimited. You can export everything — every mirrored record, every discrepancy and how it was resolved, the full history with its chain — as CSV and JSON, at any time, without asking us. The bundle verifies on its own, without Trueness.

9.4 Where we process personal data on your behalf, we do so as your processor, under the Data Processing Addendum, which is incorporated into these terms. Where we process your own account data, we do so as controller, under the Privacy Policy. The DPA and the Privacy Policy explain the split.

9.5 We may use anonymous, aggregated statistics about how the service is used — counts, error rates, performance figures — to operate and improve it. These never identify you, your customers or any individual, and we never publish a figure that could.

9.6 Feedback. If you tell us how to make the product better, we may act on it without owing you anything. We will not identify you as the source without asking.


10. How long we keep your history

10.1 Your history is retained 13 months, on a rolling basis, on every paid plan. Retention is not a plan fence — Core gets the same window as Scale. Export is unlimited and self-serve at any time.

10.2 Raw billing events from Stripe are kept 90 days, after which the payload is removed and an empty receipt row is retained.

10.3 The chain checkpoints that let your export prove itself are kept 400 days, under a retention lock. They contain no customer data.


11. After you cancel

11.1 For 90 days after cancellation, your history stays readable and exportable. Nothing new is written and no sweeps run. You can export everything throughout.

11.2 The app objects Trueness already wrote into your HubSpot portal stay exactly where they are. We do not delete a customer's CRM records — not on cancellation, not on uninstall, not on any setting.

11.3 After the 90 days: if the app is still installed, you revert to the free Drift Report, which is permanent. If the app is also uninstalled, we give you 30 days' notice with an export link, and then destroy your data.

11.4 Destruction is by key destruction. Your history is append-only and its rows cannot be deleted — that is what makes it worth anything. Personal identifiers are therefore never stored inside it; they live in a separate encrypted store, and we destroy the keys. From that moment the data is permanently unreadable everywhere it exists, including in every backup we have ever taken. Row counts do not change and the chain still verifies. Section 11 of the DPA sets this out in full.

11.5 You can ask us to delete everything sooner, at any time. We will, and we will confirm in writing.


12. What we commit to, and what we do not

12.1 There is no uptime service level commitment in year one. One person operates this service from UTC−3. A published availability figure that we could not measure or honour would be worse than this sentence, and you would find out which on the first bad day.

12.2 What we do commit to:

12.3 Support is in writing. There are no calls — not for sales, not for setup, not for support, and not for procurement. This is a deliberate design of the business and it is the same on every plan. We will answer a written security questionnaire once per customer per year, within two business days.

12.4 We may change or discontinue individual features. Where a change materially reduces what you are paying for, we will tell you at least 30 days beforehand and you may cancel with a pro-rata refund of the unused prepaid term.


13. Warranties, and the limits on them

13.1 What we do warrant. We will provide the service with reasonable skill and care. We will not knowingly introduce malicious code. We have the right to grant the rights in these terms.

13.2 Accuracy. Trueness reports what Stripe and HubSpot actually return. Where it cannot compute a figure it can stand behind, it suppresses the figure and tells you why rather than showing a number it knows to be wrong. That is a design commitment and it is the point of the product. It is not a warranty that every figure is correct, that every discrepancy will be detected, or that the service will be uninterrupted or error-free.

13.3 Otherwise, and to the fullest extent the law allows, the service is provided "as is". We exclude all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

13.4 Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any liability that applicable mandatory law does not permit to be limited.

13.5 Subject to 13.4, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, or data (beyond our obligation to maintain the backups described in the DPA), however caused.

13.6 Subject to 13.4, each party's total liability arising out of or in connection with these terms, in aggregate over any 12-month period, is limited to the greater of (a) the amount you paid us for the service in the 12 months before the event giving rise to the claim, and (b) one hundred United States dollars (US$100).

13.7 You remain responsible for your own accounting. Trueness compares records. It is not a system of record, not a substitute for your accountant or auditor, and not a control you can point at instead of your own. Nothing it produces is accounting, tax, legal or financial advice.


14. If Trueness stops

14.1 The wind-down promise.

If Trueness is ever discontinued: every account receives 90 days' written notice. From that day, everything Trueness holds for you — every mirrored record, every discrepancy and how it was resolved, the full history with its chain — is exportable as CSV and JSON, and stays exportable throughout. For 90 days the daily check and the export keep running and no charge is taken. At the end of the 90 days your data is deleted by destroying the keys that make it readable, and you receive confirmation. Any unused prepaid term is refunded pro-rata.

14.2 This is a term of this contract, not a statement of intent. It is backed by a runbook that has been executed on test data, and the same words appear on our trust page.

14.3 The public key that verifies your exported history stays published for 400 days after that, so the export you are holding keeps its proof.

14.4 The pro-rata refund in 14.1 is the one exception to clause 8.1's rule that annual terms are not refunded pro-rata, because the discontinuation is ours and not yours.


15. Suspension and termination

15.1 You may terminate at any time under section 7.

15.2 We may suspend the service, on notice where we can give it, if: your payment is more than 30 days overdue after the dunning process has completed; your use is damaging our systems or another customer; or we are required to by law. We will restore the service as soon as the cause is resolved.

15.3 We may terminate for a material breach you have not fixed within 30 days of our written notice of it, or immediately if you use the service unlawfully or in a way that puts another customer's data at risk.

15.4 If we terminate without cause, we refund the unused prepaid term pro-rata. If we terminate for your material breach, we do not.

15.5 On any termination, section 11 governs your data.


16. Changes to these terms

16.1 We may change these terms. We will post the new version here with a new effective date.

16.2 For a material change we give at least 30 days' notice, by email to your registered administrator. If you do not accept it, you may terminate before it takes effect and we will refund the unused prepaid term pro-rata.

16.3 We will not apply a change retroactively to anything that happened before it took effect.

17. Governing law, and how a dispute is resolved

17.1 These terms are governed by the laws of the Federative Republic of Brazil, and the courts of the City of São Paulo, State of São Paulo, Brazil have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

17.2 The language of this contract is English. Any translation is for convenience; the English text governs.

17.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.4 Each party brings any claim in its own name and on its own behalf only, and not as a representative of any class or group.


18. The rest

18.1 Entire agreement. These terms, the Privacy Policy, the DPA, the sub-processor list and the refund policy are the whole agreement between us on this subject and replace anything said before. Nothing on a marketing page or in a marketplace listing adds a term.

18.2 Order of precedence. If these documents conflict: the DPA governs the processing of personal data; otherwise these terms govern.

18.3 No purchase-order terms. Terms printed on a purchase order, vendor portal or procurement form have no effect unless we have signed them separately.

18.4 Assignment. You may not assign these terms without our written consent, which we will not unreasonably withhold, except to a successor of your whole business. We may assign them to a successor of ours, and if we do we will tell you.

18.5 Force majeure. Neither party is liable for a failure caused by something genuinely outside its control. This does not excuse a failure to pay.

18.6 Severability. If a clause is held unenforceable, the rest stands and the clause is read down to the extent needed to make it enforceable.

18.7 No waiver. Not enforcing a term once does not waive it.

18.8 Notices. We give notice by email to your registered administrator and, for anything material, also on our changelog. You give notice to trueness.lab@gmail.com.

18.9 Marketplace terms. Where you install through the HubSpot App Marketplace or the Stripe App Marketplace, that marketplace's own terms also apply to the installation. They do not replace these terms as between you and us.
